Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Aetherfy platform, websites, APIs, SDKs, and command-line tools (collectively, the “Service”) provided by [OWNER-LEGAL: company legal name and registered address] (“Aetherfy”, “we”, “us”). By creating an account, or by accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

Aetherfy is a developer platform offering two primitives: a globally replicated vector database (an enterprise deployment of open-source Qdrant) and agent compute (isolated micro-VMs for deploying and scaling autonomous agents). The Service includes a dashboard, REST APIs, official SDKs, a CLI, and scheduled-task execution.

We provide the Service on an ongoing basis and may add, modify, or discontinue features. Where a change materially reduces core functionality of a paid plan, we will give reasonable advance notice.

Account authentication is handled through Supabase Auth. You may sign in with Google or GitHub OAuth, or with an email and password. You are responsible for maintaining the confidentiality of your credentials and API keys, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

You must be at least the age of majority in your jurisdiction to use the Service, and you must provide accurate account information.

Paid plans are billed through Stripe. We do not store or process card numbers ourselves; card data is handled by Stripe as our payment processor. Plans meter usage — agents, memory, regions, always-on compute, and scheduled-task execution — and bill overage at the rates shown on our pricing page.

• Each plan enforces a hard memory cap; the platform refuses deployments that would exceed it rather than silently charging more.
• Usage-based overage accrues up to the usage limit disclosed for your plan. You are responsible for charges incurred under your account.
• Fees are stated exclusive of taxes; you are responsible for applicable taxes other than those on our net income.
• Except where required by law, fees already paid are non-refundable.

You may cancel your plan at any time from the account settings. On cancellation, billing stops at the end of the applicable period and the account transitions according to the metering rules described in your plan. You may also delete your account entirely; deletion triggers a purge of your data as described in our Privacy Policy.

We may suspend or terminate access if you materially breach these Terms, fail to pay, or use the Service in a way that threatens its security or availability. We will use reasonable efforts to notify you.

You agree not to use the Service to:

• violate any law or infringe the rights of others;
• store or process content you have no right to, or that is unlawful, malicious, or designed to harm;
• attempt to breach, probe, or circumvent the security or isolation of the platform, other tenants, or the compute sandbox;
• deploy agents that send spam, conduct fraud, scrape in violation of a site’s terms, or generate abusive load against third parties;
• reverse engineer the Service except to the extent that restriction is prohibited by law, or resell the Service without authorization.

You retain all rights to the data, embeddings, code, and content you upload or generate through the Service (“Customer Data”). You grant us a limited license to host, process, transmit, and replicate Customer Data solely as needed to operate and provide the Service, including replication across the regions you select. Our handling of Customer Data is described in the Privacy Policy, which forms part of these Terms.

The Service, including its software, design, and documentation, is owned by Aetherfy and its licensors and is protected by intellectual-property laws. Open-source components (including Qdrant) remain under their respective licenses. These Terms grant you no rights to our trademarks or branding.

We work to keep the Service available and performant, but except where an Enterprise agreement states otherwise, the Service is provided without a committed service-level guarantee. Any performance figures shown on marketing pages are indicative, not contractual commitments.

To the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that data will never be lost. You are responsible for maintaining your own backups where appropriate.

To the maximum extent permitted by law, Aetherfy will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our aggregate liability arising out of or relating to the Service will not exceed the greater of the amounts you paid to us for the Service in the twelve months preceding the claim, or one hundred US dollars. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You agree to indemnify and hold harmless Aetherfy from claims, damages, and expenses arising out of your Customer Data, your use of the Service, or your breach of these Terms, except to the extent caused by our own gross negligence or willful misconduct.

These Terms are governed by [OWNER-LEGAL: governing law jurisdiction], without regard to conflict-of-laws rules. The exclusive venue for disputes will be [OWNER-LEGAL: courts / venue for disputes], and you consent to the personal jurisdiction of those courts, except where mandatory consumer-protection law provides otherwise.

We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
